Building capital-ready businesses and resilient ownership models for companies in the energy and utilities sector

Rising capital costs, tighter financing conditions and evolving ownership structures are reshaping the energy sector. Access to capital increasingly depends on financial transparency, credible business cases and governance structures that can withstand volatility. Building capital-ready businesses has therefore become a strategic priority for energy companies seeking to fund growth, transformation and infrastructure expansion.

Roland Berger supports energy companies in strengthening their investability and preparing for external capital by improving not just financial transparency and governance but also commercial discipline. Our work spans project and platform bankability, portfolio-level financing strategies and capital allocation frameworks designed to perform under changing market conditions. This includes aligning strategic ambition with funding capacity, structuring scalable financing approaches and ensuring that operating models and reporting meet investor and lender expectations.

In parallel, we support founder-led and growth-stage energy businesses in preparing for external capital by professionalizing financial reporting, governance and decision-making processes. This enables access to funding while preserving strategic flexibility and maintaining entrepreneurial control across ownership transitions, where required.

From an investor perspective, we support equity and debt providers in reviewing portfolio companies and identifying value creation priorities. We also help them assess resilience across different market and regulatory scenarios. This covers evaluating business models, governance quality, financial robustness and execution capabilities, providing a clear view of downside protection and upside potential. In practice, this includes structuring financing solutions for the energy transition and grid expansion projects of regional utilities, as well as supporting ownership transitions in family-owned development platforms that seek to attract external capital without losing strategic direction.

Whatever the context, the objective remains consistent: to align strategic ambition with financial resilience. Clients are better positioned to secure funding, scale efficiently and adapt to changing investor expectations while maintaining control over operational performance and long-term value creation.

Financing the regional energy transition of municipal utilities for cooperative banks

We supported cooperative banks in developing a deeper understanding of regional energy transition and infrastructure investments, with a particular focus on electricity distribution grids and district heating networks. The project aimed to build transparency regarding the scale, characteristics and risk profiles of these investments, including a quantification of the addressable investment gap across the municipal utilities landscape.

Our work focused on analyzing typical investment types, capital intensity, cash flow profiles, regulatory frameworks and risk-return characteristics of grid and energy infrastructure projects. This was complemented by an in-depth analysis of the financial profiles of more than 150 municipal utilities, covering profitability and indebtedness, as well as financing capacity. Based on these insights, we derived concrete recommendations on suitable financing approaches and instruments aligned with the specific risk profiles and balance-sheet constraints of cooperative banks.

The result was a structured investment outlook and practical financing insights, enabling cooperative banks to assess opportunities, manage risks and position themselves as long-term financing partners in the municipal energy transition.
